Terms and Conditions

Welcome to Crypto Wallet’s Loyalty Program (the "Program"). By participating in the Program, you agree to be bound by these Terms and Conditions (“Terms”). These Terms form an integral part of the Crypto Wallet’s User Agreement. In the event of any inconsistency between these Terms and the User Agreement, the User Agreement shall prevail unless expressly stated otherwise in these Terms.

1. Overview
1.1. The Loyalty Program (the “Program”) is a user engagement initiative made available within Crypto Wallet.
1.2. The Program is scheduled to commence on 16th April 2026 and shall continue until terminated by Crypto Wallet at its sole discretion. Crypto Wallet may modify, suspend, or discontinue the Program, in whole or in part, at any time.
1.3. Within the Program, eligible users may complete designated tasks and receive points (“Points”). Points may be used exclusively within Crypto Wallet and only in accordance with these Terms.
1.4. Participation in the Program is voluntary. Nothing in the Program constitutes financial advice, investment advice, or a solicitation to engage in any trading or investment activity.
1.5. The Program, or certain features of it, may be unavailable in specific jurisdictions due to regulatory, legal, or operational limitations. Crypto Wallet reserves the right to restrict, modify, or withdraw availability of the Program or any of its features (including earning, redemption, or referral functionality) in any jurisdiction at its sole discretion. Where such restrictions apply, users may be limited in their ability to earn or redeem Points in relation to the affected features.
1.6. Crypto Wallet may establish, modify, replace, or discontinue additional rules, mechanics, or seasonal features within the Program at any time, provided that such features remain subject to these Terms.
1.7. Participation in the Program does not create any partnership, agency, employment, or joint venture relationship between the user and Crypto Wallet.
1.8. Additional details regarding the Program, including Season mechanics, Eligible Activities, reward structures, campaigns, and other features, are available in the Crypto Wallet FAQ [FAQ in Russian | FAQ in English]. In the event of any inconsistency between these Terms and the information provided in the FAQ or the Crypto Wallet interface, the information reflecting the most current Program mechanics, as displayed in the Crypto Wallet interface or FAQ, shall prevail to the extent permitted by applicable law.

2. Eligibility
2.1. Participation in the Program is available only to users of Crypto Wallet who maintain their accounts in good standing and comply with the User Agreement, these Terms, and applicable internal policies.
2.2. To be eligible to participate, you must:
(a) maintain an active Crypto Wallet account;
(b) complete at least the Basic KYC verification level; and
(c) satisfy any additional compliance or verification requirements imposed by Crypto Wallet from time to time.
2.3. Crypto Wallet may, at its sole discretion, require certain users to complete Advanced KYC verification and/or enhanced due diligence checks prior to receiving Points, redeeming Points, or receiving specific rewards under the Program.
2.4. Users who have been blocked, suspended, restricted, or otherwise limited in permissions by Crypto Wallet for any reason under these Terms, the User Agreement, or internal compliance policies are not eligible to participate in the Program.
2.5. If a user’s account becomes suspended, permanently blocked, or restricted:
(a) access to the Program shall be automatically suspended;
(b) the user shall be prohibited from redeeming Points;
(c) any accumulated Points may be suspended (frozen) for the duration of such restriction.
During the period of suspension or restriction, Points may remain in a suspended state and may, at Crypto Wallet’s sole discretion, continue to accrue, including from prior or ongoing activities, notwithstanding Section 2.4.
2.6. For the avoidance of doubt, where an account is permanently blocked, all Points shall remain suspended and inaccessible, and may not be redeemed, transferred, or otherwise used and may be subject to expiration in accordance with Section 4.9. Crypto Wallet shall have no obligation to maintain, restore, or provide access to such Points, unless required by applicable law.
2.7. In the event an account suspension or restriction is lifted and access to the account is restored, Crypto Wallet may, at its sole discretion, reinstate access to any Points that were frozen but not permanently restricted. Points that were validly accrued during the period of suspension may be made available upon such restoration, subject to applicable expiration rules, including Season-based expiration. No recalculation, retroactive accrual, compensation, or adjustment shall be made for any activities performed, missed opportunities, or Program mechanics during such period.
2.8. Eligibility to participate in the Program, including access to specific tasks or reward mechanisms, may vary depending on the user’s jurisdiction, regulatory status, and availability of certain Wallet products in that jurisdiction.

3. Earning Points
3.1. Eligible users may earn Points through participation in certain activities made available within Crypto Wallet from time to time (“Eligible Activities”).
3.2. Points are promotional credits issued for engagement purposes only. Points do not constitute property, digital assets, financial instruments, or any form of monetary value, and do not represent any claim against Crypto Wallet.
3.3. Eligible Activities may include, without limitation:
(a) specific transactions through Crypto Wallet Services;
(b) invitation of friends; and
(c) other activities or tasks designated by Crypto Wallet and offered from time to time within the interface.
3.4. The details of any Eligible Activities, including conditions, requirements, rewards, and limitations, shall be determined by Crypto Wallet and may be displayed within the Crypto Wallet interface. Such interface-based information may be updated from time to time and shall prevail in relation to the applicable activity to the extent it reflects the most current Program mechanics.
3.5. Participation in the Program does not require users to engage in any trading or financial activity and should not be interpreted as an encouragement to increase transaction activity.
3.6. Points shall be calculated and awarded in whole numbers only. Any fractional amounts resulting from the calculation of Points shall be rounded down to the nearest whole number. The specific conditions, calculation methods, and Point allocation rules applicable to each Eligible Activity may be determined and modified by Crypto Wallet from time to time.
3.7. Crypto Wallet may apply promotional multipliers, bonuses, or temporary adjustments to the number of Points awarded for certain Eligible Activities. Such multipliers are discretionary, may be time-limited, and may be modified or withdrawn at any time.
3.8. Points are non-transferable and may not be sold, assigned, pledged, exchanged, or otherwise transferred to any third party.
3.9. Crypto Wallet reserves the right to impose limits on the number of Points that may be earned within a given period, including daily, weekly, seasonal, or Program-wide limits.
3.10. Points shall not be awarded for any activity that Crypto Wallet reasonably determines or suspects to be artificial, manipulative, abusive, or otherwise inconsistent with the intended purpose of the Program, including any conduct described in Section 9.2.
3.11. Crypto Wallet further reserves the right to invalidate Points, suspend the awarding of Points, revoke Points, or restrict access to the Program.

4. Redemption of Points
4.1. Points may be redeemed within Crypto Wallet for certain rewards, features, or Program mechanics made available from time to time within the Crypto Wallet interface.
4.2. Unless otherwise expressly specified within the Program (including in relation to fee discounts, enhanced service conditions, or other non-asset-based benefits), all rewards under the Program shall be distributed exclusively in the form of virtual assets credited to the user’s Crypto Wallet account. Any values, amounts, or prize indications expressed in fiat currency or other units are provided for informational and reference purposes only and shall be interpreted as approximate equivalents. The actual type and amount of virtual assets distributed may vary and shall be determined by Crypto Wallet at its sole discretion. The value of such assets may fluctuate, and Crypto Wallet makes no representations regarding their value at the time of distribution or thereafter.
4.3. Available redemption options may include, without limitation, participation in promotional draws, access to promotional boxes, or other rewards designated by Crypto Wallet from time to time.
4.4. The availability, conditions, and Point cost of any redemption option may be determined and modified by Crypto Wallet from time to time at its sole discretion.
4.5. Points do not expire over time unless otherwise specified by Crypto Wallet, including in its FAQ [FAQ in Russian | English]. Crypto Wallet reserves the right, at its sole discretion, to introduce validity periods or expiration rules for Points in the future, subject to applicable law and appropriate notice.
4.6. Redemption of Points does not guarantee receipt of any specific reward unless expressly stated within the Program interface.
4.7. Once Points have been redeemed, such redemption is final and Points used for redemption shall not be returned, reinstated, or exchanged except as expressly provided in Section 4.8.
4.8. In cases where, due to product availability, jurisdictional restrictions, compliance requirements, or other limitations, a reward (including any Secret Box) cannot be accessed, opened, or claimed, Crypto Wallet may, at its sole discretion, cancel such reward and, where reasonably appropriate, return the corresponding Points used for its redemption. Crypto Wallet shall have no obligation to provide any alternative reward, compensation, or substitution in such cases.
4.9. Crypto Wallet may delay or withhold the distribution of any reward where reasonably required for compliance purposes, including identity verification, KYC or AML checks, sanctions screening, or fraud prevention, or to comply with applicable laws and internal policies.
4.10. Users are solely responsible for any taxes, duties, or reporting obligations arising from rewards received under the Program.
4.11. Crypto Wallet reserves the right to correct any errors in the calculation, allocation, or redemption of Points or rewards. In the event of any technical error, system malfunction, or incorrect crediting of Points or rewards, Crypto Wallet may adjust, cancel, or reclaim such Points or rewards without prior notice where reasonably necessary.

5. Leaderboard and Public Display
5.1. Crypto Wallet may display a leaderboard within the Program reflecting user participation and/or performance metrics, including the number of Points earned during a specific Season or period.
5.2. By participating in the Program, you acknowledge and agree that your display name and photo, as provided by you in your Telegram profile and used within Crypto Wallet, may be shown on such a leaderboard and may be visible to other users. The processing of your display name for leaderboard purposes is carried out in accordance with Crypto Wallet's Privacy Policy, which forms part of your agreement with Crypto Wallet.
5.3. You represent and warrant that your display name and photo does not contain and will not be used to display:
(a) offensive, abusive, or inappropriate language;
(b) misleading or deceptive information;
(c) personal data of third parties;
(d) names, trademarks, or brands belonging to third parties without appropriate rights or authorization;
(e) advertising, promotional content, or commercial messaging; or
(f) any other content that violates applicable laws, these Terms, or Crypto Wallet’s internal policies.
5.4. Crypto Wallet reserves the right, at its sole discretion, to moderate, restrict, remove, or exclude any user from the leaderboard, including in cases of suspected violations of this Section or upon a user’s request submitted via support channels.
5.5. Crypto Wallet shall not be responsible for the accuracy, legality, or appropriateness of any user-generated display names and photos shown on the leaderboard.

6. Invite Friends
6.1. Crypto Wallet may make available invitation functionality within the Program, allowing users to invite new or inactive users to Crypto Wallet through a unique invitation link (“Invitation Link") and receive Points in connection with eligible activity performed by such invited users (“Invited Users”).
6.2. For the purposes of the Program, an Invited User may include:
(a) a new user who registers in Crypto Wallet using an Invitation Link; or
(b) an existing user who has not performed any activity within Crypto Wallet for a period of 3 (three) months and is re-engaged through the Invitation Link.
6.3. For the avoidance of doubt, where an Invited User is invited or re-engaged by more than one participant of the Program, Points shall be granted only to the participant whose Invitation Link was first used, as determined by Crypto Wallet’s internal records, which shall be final and binding.
6.4. Once an Invited User has been attributed to a participant through the use of an Invitation Link, such attribution shall remain fixed and may not be changed, reassigned, removed, or otherwise revoked by either the user or the Invited User.
6.5. Invitation-based Points may be awarded only in respect of qualifying activities performed by Invited Users in accordance with Crypto Wallet’s systems and applicable terms. Points shall be awarded only for activities that are fully completed and valid.
6.6. Invitation-based Point accrual for each Invited User may be limited to a specific period determined by Crypto Wallet. Re-engagement or repeated activity by an Invited User shall not reset or extend any applicable attribution or accrual period.
6.7. Invitation-based Points shall not be awarded, and may be withheld, cancelled, adjusted, or otherwise invalidated, where Crypto Wallet reasonably determines that:
(a) the relevant activity is cancelled, reversed, or otherwise invalid;
(b) the user or the Invited User is subject to account restrictions, compliance measures, or jurisdictional limitations; or
(c) such Points were obtained in violation of these Terms, the User Agreement, or applicable internal policies, including through any conduct described in Section 9.2.
6.8. The creation or use of additional, duplicate, or related accounts by an Invited User shall not result in additional or extended invitation-based Point accrual.
6.9. Crypto Wallet may, at its sole discretion, disqualify the Invited User and/or the user who sent the Invitation Link from participation in the Program, and invalidate or reclaim any associated Points, where such conduct is identified.
6.10. Additional details regarding referral mechanics, including calculation methods, eligibility criteria, and limitations, may be provided in Crypto Wallet’s FAQ, as updated from time to time.

7. Rewards and Campaign Mechanics
7.1. Crypto Wallet may, from time to time, allocate rewards under the Program based on user participation, performance metrics, or other criteria determined by Crypto Wallet, including the number of Points earned during a specific Season or the user’s position on the leaderboard.
7.2. Rewards may be distributed to users who meet specified thresholds, ranking positions, or other conditions defined within the Program, including those reflected in the Crypto Wallet interface, FAQ, or related communications.
7.3. Crypto Wallet may also conduct promotional campaigns, giveaways, or similar activities within the Program, which may involve additional tasks, eligibility requirements, or selection criteria. Participation in such activities is voluntary.
7.4. The rules applicable to any reward distribution, campaign, or giveaway — including eligibility criteria, number of recipients, allocation methodology, and reward types — shall be determined by Crypto Wallet and may be disclosed in the Program interface, FAQ, or other official communication channels [FAQ in Russian | FAQ in English].
7.5. Unless expressly stated otherwise, participation in the Program or in any specific campaign does not guarantee receipt of any reward.

8. Secret Boxes
8.1. From time to time, Crypto Wallet may offer secret boxes within the Program (“Secret Boxes”), which may be accessed by redeeming a specified number of Points.
8.2. Secret Boxes may provide randomly allocated rewards from a predefined pool of potential rewards.
8.3. Crypto Wallet shall disclose, within the Program interface and prior to redemption, the complete list of potential rewards available within each Secret Box. Crypto Wallet reserves the right to update the reward pool, provided that any such changes are reflected in the disclosed information prior to any subsequent redemption.
8.4. The number of certain Secret Boxes available within the Program may be limited. Crypto Wallet may impose limits on the number of Secret Boxes that a user may access, including per-user, daily, seasonal, or Program-wide limits.
8.5. Crypto Wallet does not guarantee the availability of any Secret Boxes at any given time and does not guarantee that any reward will be obtained through a Secret Box.

9. Compliance, Abuse and Enforcement
9.1. Crypto Wallet may suspend or disqualify any user from participation in the Program and withhold, cancel, adjust, or reclaim Points or rewards where it reasonably determines or suspects that the user has engaged in abusive, manipulative, fraudulent, or otherwise prohibited conduct in connection with the Program.
9.2. Such conduct may include, without limitation, multi-accounting, self-referrals, artificial or wash trading activity, coordinated or collusive behavior, automated or bot-driven activity, fraudulent misrepresentation, or any other actions intended to artificially generate Points or exploit the Program mechanics.
9.3. Crypto Wallet may investigate suspected violations of these Terms and may temporarily suspend Points or rewards during such investigation.
9.4. Crypto Wallet reserves the right to take any reasonable measures necessary to protect the integrity of the Program, including restricting access to the Program or user accounts, disqualifying users, and cancelling Points or rewards.

10. Limitation of Liability
10.1. To the fullest extent permitted by applicable law, Crypto Wallet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of Points, loss of data, loss of opportunity, or loss of anticipated rewards, arising out of or in connection with the Program.
10.2. Crypto Wallet shall not be liable for any losses resulting from or related to:
(a) the unavailability, suspension, modification, or termination of the Program or any of its features;
(b) delays, errors, or inaccuracies in the calculation, allocation, or redemption of Points or rewards;
(c) technical failures, system malfunctions, or interruptions; or
(d) any actions, omissions, or activity of other users participating in the Program.
10.3. To the maximum extent permitted by applicable law, Crypto Wallet’s total aggregate liability in connection with the Program shall not exceed the total value of rewards actually received by the user under the Program.

11. Disclaimer
11.1. The Program is provided on an “as is” and “as available” basis. Crypto Wallet makes no representations or warranties, express or implied, regarding the availability, continuity, or performance of the Program or any of its features.
11.2. Crypto Wallet does not guarantee that participation in the Program will result in the receipt of any Points, rewards, or any specific outcome.
11.3. Crypto Wallet does not guarantee uninterrupted or error-free operation of the Program. The Program may be affected by technical issues, maintenance, regulatory restrictions, or other operational factors.
11.4. All determinations made by Crypto Wallet in relation to the Program, including eligibility, activity, Points, rewards, and compliance assessments, shall be final and binding. Users who believe a determination has been made in error may submit a complaint in accordance with the complaint resolution process set out in Section 16 of the Crypto Wallet User Agreement.

12. Amendments
12.1. Crypto Wallet reserves the right to modify, update, or amend these Terms, the Program, or any of its features at any time at its sole discretion. Any such changes shall become effective upon publication within the Crypto Wallet interface.
12.2. For material changes that adversely affect users' ability to earn or redeem Points, Crypto Wallet shall endeavor to provide reasonable prior notice where practicable. Where immediate changes are required for legal, regulatory, or security reasons, such changes may take effect without prior notice.
12.3. Your continued participation in the Program following such changes shall constitute your acceptance of the updated Terms.
12.4. Crypto Wallet may introduce additional conditions, eligibility criteria, limitations, or restrictions, including those relating to specific jurisdictions, activities, or reward mechanisms, at any time.

13. Termination
13.1. Crypto Wallet reserves the right to suspend or terminate the Program, in whole or in part, at its sole discretion. Except where termination is required for legal, regulatory, or security reasons, Crypto Wallet shall endeavor to provide users with reasonable prior notice of permanent termination of the Program.
13.2. In the event of termination of the Program, Crypto Wallet may determine the treatment of any remaining Points, including setting a deadline for their redemption or cancelling unused Points without compensation, unless otherwise required by applicable law. Crypto Wallet shall not be liable for any loss resulting from the modification, suspension, or termination of the Program.
13.3. If a user voluntarily closes their Crypto Wallet account, any Points accumulated under the Program that remain unredeemed at the time of closure shall be permanently forfeited without compensation. Prior to initiating account closure, users are encouraged to redeem any outstanding Points in accordance with these Terms. Crypto Wallet shall not be obligated to reinstate, transfer, or compensate for any Points forfeited upon voluntary account closure.

14. Governing Law and Dispute Resolution
14.1. Any disputes, claims, or matters arising out of or in connection with these Terms or the Program shall be resolved in accordance with the dispute resolution procedures set out in the Crypto Wallet User Agreement.
14.2. For the avoidance of doubt, the governing law, jurisdiction, and dispute resolution mechanisms specified in the User Agreement shall apply to these Terms and the Program.
