Welcome to Crypto Wallet’s Referral Program (the "Program"). By participating in the Program, you agree to be bound by these Terms and Conditions (“Terms”).
These Terms form an integral part of the Crypto Wallet’s User Agreement. In the event of any inconsistency between these Terms and the User Agreement, the User Agreement shall prevail unless expressly stated otherwise in these Terms.
1. Overview
1.1. The Referral Program is an user engagement initiative made available within Crypto Wallet, allowing eligible users to invite new or inactive users to Crypto Wallet through referral functionality made available by Crypto Wallet from time to time.
1.2. The Referral Program may include referral links, onboarding tasks, Points, Secret Boxes or other referral-related features as determined by Crypto Wallet at its sole discretion.
1.3. Participation in the Referral Program is voluntary. Nothing in the Referral Program constitutes financial advice, investment advice, or a solicitation to engage in any trading or investment activity.
1.4. The Referral Program, or certain features of it, may be unavailable in specific jurisdictions due to regulatory, legal, operational, or compliance limitations. Crypto Wallet reserves the right to restrict, modify, suspend, or withdraw availability of the Referral Program or any of its features in any jurisdiction at its sole discretion.
1.5. Crypto Wallet may establish, modify, replace, suspend, or discontinue referral mechanics, onboarding tasks, reward structures, Secret Box mechanics, Point accrual rules, eligibility requirements, or other features of the Referral Program at any time. Crypto Wallet shall have no obligation to continue operating any specific referral campaign, reward pool, onboarding flow, Secret Box mechanic, or reward structure for any minimum period of time.
1.6. The most current referral mechanics, eligibility criteria, rewards, tasks, limitations, and applicable conditions displayed within the Crypto Wallet interface shall prevail in relation to the applicable Referral Program mechanics.
1.7. Participation in the Referral Program does not create any partnership, employment, agency, brokerage, or other representative relationship between the user and Crypto Wallet. Users are not authorized to act on behalf of Crypto Wallet, represent Crypto Wallet, bind Crypto Wallet, or create any impression of partnership, endorsement, sponsorship, agency, or official affiliation.
1.8. Crypto Wallet may operate multiple referral campaigns, reward pools, onboarding flows, or promotional mechanics simultaneously, each subject to separate conditions, eligibility requirements, and limitations.
2. Eligibility
2.1. Participation in the Referral Program is available only to users of Crypto Wallet who maintain their accounts in good standing and comply with the User Agreement, these Referral Terms, the Loyalty Program Terms (where applicable), and Crypto Wallet’s internal policies.
2.2. To participate in the Referral Program, users must maintain an active Crypto Wallet account, complete the applicable KYC verification level required by Crypto Wallet from time to time, and satisfy any additional compliance, verification, or eligibility requirements imposed by Crypto Wallet.
2.3. Crypto Wallet may, at its sole discretion, require additional identity verification, enhanced due diligence, or compliance checks prior to awarding or distributing any referral-related rewards, including sanctions screening, AML monitoring, fraud checks or other internal compliance procedures.
2.4. Users whose accounts are blocked, suspended, restricted, or otherwise limited by Crypto Wallet may be restricted from participating in the Referral Program or receiving referral-related rewards.
3. Referral Mechanics
3.1. Crypto Wallet may make available referral functionality allowing eligible users (“Referrers”) to invite other users to Crypto Wallet through a unique referral link provided by Crypto Wallet (“Referral Link”).
3.2. An invited user (“Invited User”) may include a new user who registers using the applicable Referral Link, or an existing user who has not performed any activity within Crypto Wallet for a period of 3 (three) months and is re-engaged through the Referral Link.
3.3. Referrers and Invited Users may become eligible to receive rewards in connection with qualifying activities completed within Crypto Wallet.
3.4. Referral-related rewards may include:
(a) Secret Boxes containing randomly allocated rewards;
(b) Points under the Loyalty Program, where available;
(c) fixed Point allocations;
(d) percentage-based Point allocations linked to eligible activity;
(e) onboarding rewards or task-based rewards; and/or
(f) other promotional rewards determined by Crypto Wallet from time to time.
3.5. Invited Users may be required to complete onboarding tasks, qualifying activities, verification requirements, or other conditions displayed within the Crypto Wallet interface in order to become eligible for referral-related rewards and/or enable the applicable Referrer to receive referral-related rewards.
3.6. The specific referral tasks, qualifying activities, conditions, eligibility criteria, reward structures, Point accrual rules, Secret Box mechanics, and applicable limitations may vary depending on jurisdiction, user category, product availability, or other factors determined by Crypto Wallet and displayed within the Crypto Wallet interface, and such information shall form part of the applicable Referral Program rules.
3.7. Referral-related rewards shall only be awarded for qualifying activities that are validly completed, fully settled, compliant with applicable requirements, and recognized by Crypto Wallet’s internal systems as legitimate and non-abusive. Crypto Wallet may disregard, delay, suspend, or invalidate any activity that it reasonably suspects to be artificial, fraudulent, manipulative, automated, coordinated, or otherwise inconsistent with the intended purpose of the Referral Program.
3.8. Completion of referral-related activities or onboarding tasks does not guarantee receipt of any referral reward unless and until such reward is successfully allocated by Crypto Wallet in accordance with these Terms and applicable Program rules. Completion of referral-related activities, onboarding tasks, or eligibility conditions does not create any vested right to receive rewards.
3.9. Crypto Wallet reserves the right to impose limits on referral participation, including limits relating to the number of Invited Users, referral reward eligibility, Secret Box availability, Point accrual, campaign participation, or reward distribution.
4. Referral Attribution
4.1.Where an Invited User is invited or re-engaged by more than one participant, referral attribution shall be assigned solely to the participant whose Referral Link was first used, as determined by Crypto Wallet’s internal records.
4.2.Once an Invited User has been attributed to a Referrer, such attribution shall remain fixed and may not be changed, reassigned, removed, or otherwise revoked by either the Referrer or the Invited User.
4.3. Referrers do not acquire any ownership rights, exclusivity rights, or continuing economic interests in relation to Invited Users, their activity, or their future use of Crypto Wallet services.
4.4. Referral attribution, eligibility, tracking, Point accrual, and reward allocation depend on technical systems, device recognition, blockchain data and other operational mechanisms that may not function continuously or error-free.
4.5. Crypto Wallet’s internal records, determinations, compliance assessments, and eligibility decisions relating to the Referral Program shall be final and binding except where otherwise required by applicable law.
5. Secret Boxes and Referral Rewards
5.1. Referral-related rewards may include Secret Boxes containing randomly allocated rewards in virtual assets determined by Crypto Wallet.
5.2. Crypto Wallet may disclose certain information regarding potential Secret Box rewards within the Crypto Wallet interface prior to redemption or opening.
5.3. Unless otherwise expressly specified, all referral rewards distributed under the Referral Program shall be provided exclusively in the form of virtual assets credited to the user’s Crypto Wallet account or as Points under the Loyalty Program.
5.4. Any values or reward amounts displayed in fiat currency or other units are provided solely for informational and reference purposes and shall be interpreted as approximate equivalents only.
5.5. The actual type, amount, and value of any distributed virtual assets may vary and shall be determined by Crypto Wallet at its sole discretion.
5.6. The value of virtual assets may fluctuate. Crypto Wallet makes no representations or guarantees regarding the value of any referral rewards at the time of distribution or thereafter.
5.7. Crypto Wallet reserves the right to correct, recalculate, adjust, reverse, or invalidate referral tracking data, Point accrual, reward calculations, or referral allocations where technical errors, abuse patterns, operational inconsistencies, or system inaccuracies are identified.
5.8. Crypto Wallet may delay, withhold, suspend, freeze, cancel, reclaim, or reverse referral rewards, Points, virtual assets, referral attribution, or related benefits where reasonably required for compliance, fraud prevention, security, abuse prevention, technical, operational, or legal reasons.
5.9. Referral rewards, Secret Boxes, referral allocations, and related Program mechanics are promotional features only and do not constitute property, financial products, investment products, bank deposits, or legally enforceable monetary claims against Crypto Wallet.
6. Referral Restrictions and Prohibited Conduct
6.1. Users may not engage in abusive, manipulative, misleading, fraudulent, or otherwise prohibited conduct in connection with the Referral Program.
6.2. Prohibited conduct may include, without limitation, self-referrals, multi-accounting, artificial or automated activity, bot-driven activity, spam or unsolicited communications, misleading advertising or deceptive promotional activity, impersonation of Crypto Wallet or third parties, use of unauthorized paid advertising, misleading earnings or investment claims, representations that the Referral Program constitutes a guaranteed income opportunity, investment opportunity, passive income scheme, or financial earning mechanism, coordinated or collusive behavior, fraudulent misrepresentation, or any conduct intended to artificially generate rewards or exploit the Referral Program mechanics.
6.3. Users shall not share Referral Links or promote the Referral Program in any manner inconsistent with applicable laws, regulations, advertising rules, platform requirements, sanctions restrictions, Crypto Wallet policies, or the jurisdictional restrictions set out in the User Agreement, including by targeting or soliciting users located in jurisdictions where Crypto Wallet services or referral functionality are restricted or unavailable.
6.4. Users shall not use unsolicited messaging, mass distribution methods, misleading social media activity, paid traffic sources, incentivized traffic, or other aggressive promotional methods in connection with the Referral Program unless expressly authorized by Crypto Wallet.
6.5. Participation in the Referral Program does not grant users any right to conduct marketing, advertising, promotional activity, or public communications on behalf of Crypto Wallet except as expressly authorized by Crypto Wallet in writing.
6.6. Users shall not attempt to circumvent any limitations, eligibility requirements, technical restrictions, or abuse prevention measures implemented by Crypto Wallet in connection with the Referral Program.
6.7. Crypto Wallet reserves the right, at its sole discretion, to invalidate referral activity, withhold rewards, suspend access, reclaim rewards or Points, disqualify users, or terminate participation in the Referral Program where prohibited conduct is identified or reasonably suspected.
6.8. Crypto Wallet may treat accounts as related, connected, or controlled by the same person where reasonably determined based on device identifiers, IP addresses, payment methods, KYC information, behavioral patterns, blockchain activity, or other internal risk indicators.
6.9. Crypto Wallet reserves the right to retroactively invalidate referral activity and reclaim any referral-related rewards, Points, virtual assets, or benefits previously distributed where prohibited conduct is identified or reasonably suspected after distribution.
7. Relationship with Loyalty Program
7.1. Where Loyalty Program functionality is available, referral-related Point accrual and use of Points shall additionally be governed by the Loyalty Program Terms and Conditions.
7.2. Participation in the Referral Program does not guarantee participation in the Loyalty Program, availability of Points, or availability of any specific referral mechanics.
8. Limitation of Liability
8.1. To the fullest extent permitted by applicable law, Crypto Wallet shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the Referral Program.
8.2. Crypto Wallet shall not be liable for any changes to the Referral Program mechanics, rewards, or eligibility conditions; any inability to access or participate in referral features; technical failures, interruptions, or system malfunctions; delays in the allocation or distribution of rewards; fluctuations in the value of any virtual assets distributed under the Referral Program; or any actions, omissions, or conduct of other users.
9. Amendments and Termination
9.1. Crypto Wallet reserves the right to modify, update, suspend, or terminate the Referral Program or these Referral Terms at any time at its sole discretion.
9.2. Continued participation in the Referral Program following any such changes constitutes acceptance of the updated Referral Terms.
10. Governing Law and Dispute Resolution
10.1. Any disputes arising out of or in connection with these Referral Terms or the Referral Program shall be resolved in accordance with the dispute resolution procedures set out in the Crypto Wallet User Agreement.
10.2. For the avoidance of doubt, the governing law, jurisdiction, dispute resolution procedures, and all related provisions set out in the Crypto Wallet User Agreement shall apply to these Referral Terms and the Referral Program and are hereby incorporated by reference.
