Welcome to Wallet in Telegram. This User Agreement (the “Agreement”) governs your use of Wallet in Telegram, a mini app that facilitates the exchange of Supported Virtual Assets and Traded Assets; enables deposits, withdrawals, transfers, and storage of Supported Virtual Assets, and provides access to a peer-to-peer matching service (the “Service” or “Services”).

You agree to indemnify, defend, and hold harmless Wallet, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, shareholders, licensors, partners, contractors, and agents from and against any and all losses, claims, damages, costs, liabilities, and expenses (including reasonable attorneys' fees and auditor's fees) arising out of or related to:

YOU AND WALLET AGREE TO RESOLVE ANY DISPUTES ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SERVICES THROUGH THE FOLLOWING PROCEDURES, WHICH MAY AFFECT HOW YOU SEEK RELIEF AND YOUR RIGHTS IN ANY DISPUTE WITH US. ANY DISPUTE SHALL FIRST BE ADDRESSED THROUGH THE WALLET COMPLAINT PROCESS. ONLY AFTER ALL REASONABLE AVENUES FOR AMICABLE RESOLUTION HAVE BEEN EXHAUSTED MAY EITHER PARTY INITIATE FORMAL LEGAL PROCEEDINGS, SUBJECT TO THE GOVERNING LAW AND JURISDICTION STIPULATED HEREIN.

USER AGREEMENT

Here are some definitions included in this Agreement to help clarify and better understand certain provisions. Unless otherwise defined or the context otherwise requires, all capitalised terms shall have the meaning given to them:

Business Day means a day other than a Saturday, Sunday or public holiday in Panama.

Custody refers to the service where Wallet holds and safeguards Virtual Assets on behalf of the User, managing private keys and wallets used to access, store, or transfer these Virtual Assets.

Exchange means direct swap between one Supported Virtual Asset to another one where the counterparty is Wallet.

Restricted Activities mean Engaging in any business or service that is prohibited or restricted by law is not permitted. This includes dealings with shell banks, bearer share ownership entities, or activities related to the defence industry, nuclear energy, or the ivory trade; involvement in the distribution or creation of child sexual abuse material; credit card data vendors; criminal organisations; dark web forums and markets; extortion activities; money laundering; associations with known criminals or subjects of law enforcement requests; distribution or use of malware, ransomware, or research chemicals; involvement with terrorist organisations; theft-related activities; operation of mixers or services designed to obfuscate illegal activities; engagement with sanctioned entities; phishing schemes; Ponzi schemes and other scams; and involvement with entities located in Restricted Jurisdictions.

Restricted Jurisdictions mean: a) The following countries and regions: the United States of America, Puerto Rico, American Samoa, Guam, Northern Mariana Island, the US Virgin Islands (St. Croix, St. John and St. Thomas), Palau. Residents or citizens of these territories are restricted from using the Wallet; b) The following countries and regions: Democratic People's Republic of Korea, Iran, Afghanistan, Haiti, Liberia, Libya, Mali, Myanmar, Somalia, South Sudan, Syrian Arab Republic, Yemen, Cuba, the United Kingdom, Austria, Belgium, Bulgaria, Croatia, Czech Republic, Denmark, Estonia, Finland, France, the Islands of Guadeloupe, Martinique, Saint-Martin, Saint-Barthélemy, Saint Pierre and Miquelon, Réunion island, Mayotte, the French Southern and Antarctic Lands, French Polynesia, New Caledonia, Wallis and Futuna, Greece, Hungary, Ireland, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Sweden, Iceland, Liechtenstein, Norway, unrecognized territories, including, Crimea, Lugansk People's Republic (LPR or LNR), Donetsk People's Republic (DPR or DNR), Kosovo, Northern Cyprus, Abkhazia, South Ossetia, Bangladesh, Egypt, Ethiopia, Nigeria, Pakistan, the Philippines, the Democratic Republic of Congo (Kinshasa), the Republic of Congo (Brazzaville), and Rwanda, Tanzania, Papua New Guinea, Sierra Leone, Botswana, Brunei Darussalam, Mauritius, Gambia, Macao, Djibouti, Réunion, Suriname, Guadeloupe, Somalia, Martinique, Equatorial Guinea, Lesotho, Guyana, Eswatini, Eritrea, New Caledonia, Cabo Verde, Bahamas, Fiji, Barbados, Guinea-Bissau, Belize, Mali, Saint Lucia, Grenada, Jersey, Virgin Islands, British, Cayman Islands, Curaçao. Residents of these territories are restricted from using the Wallet.

The most up-to-date list of Restricted Jurisdictions is available in the FAQ section and is incorporated here by reference. Existing Users in Restricted Jurisdictions may, in certain cases, still retain access to some Services.

Supported Virtual Assets (i.e. Virtual Assets) mean virtual assets that Wallet supports and allows Users to deposit, withdraw, transfer, exchange and store or perform transactions. This includes Virtual Assets that have been approved and integrated into Wallet’s Services. Wallet may update or change the list of Supported Virtual Assets from time to time, and such updates will be reflected in Wallet or in a communication to Users.

List of Supported Virtual Assets is available in the FAQ section and is hereby incorporated by reference. Wallet assumes no liability for deposits of unsupported virtual assets, which may be permanently lost.

Telegram means a third-party platform Telegram Messenger where the Wallet mini app is integrated and accessible.

Traded Assets mean virtual assets supported by Wallet, which Users may exchange exclusively with designated Supported Virtual Assets. Deposits, withdrawals to external wallet addresses, transfers to Telegram contacts are not available for Traded Assets. Certain specified Traded Assets may be available for sales via P2P Marketplace. Please refer to the FAQ section for details on the types of transactions available for each Traded Asset.

The term “Traded Assets” refer exclusively to the service name and do not imply order matching, bid-ask mechanics, or traditional financial trading execution.

The list of Traded Assets is set forth in the FAQ section, which is hereby incorporated by reference. However, the most up-to-date list of Traded Assets, as displayed within the Wallet interface, shall prevail. Wallet reserves the right to modify, update, or remove any Traded Assets at its sole discretion and without prior notice.

Wallet P2P means a platform that allows Users to directly trade Supported Virtual Assets with other Users. In this arrangement, one party agrees to transfer ownership of the specified Virtual Assets at a predetermined price, while the other party agrees to accept the Virtual Assets and pay the corresponding amount of fiat currency.
